
A Homeowners Association (HOA) is all about keeping your community running smoothly, protecting property values, and managing common area. At the center of this HOA are your five professional Directors of Garden Patio Villas. They serve as the governing Board of Directors and act as the community’s management company, overseeing all operational and administrative tasks.
So, how do five people actually turn a problem (like a broken fence) into a solution (like reviewing three bids to fix it)? It all comes down to following strict steps and staying organized.
They must happen in a formal, properly noticed meeting where the agenda is posted with a minimum of 48 hours notice, following a clear procedure:
For a decision to be official, the Board needs a quorum, which just means the minimum number of Directors have to be present. For your five-person Board, that magic number is three members. If only two Directors show up, they can’t legally conduct official business or hold a valid vote.
Note on a Smaller Board: If the Board is composed of only three Directors, a simple majority of two affirmative votes would be required to pass any motion.
A vote is then taken. Because decisions require a simple majority, three affirmative votes are always required to pass any motion on a five-member Board.

Once a decision is made, the Board’s Secretary ensures all official decisions and the corresponding vote count are accurately recorded in the meeting minutes, which are published on our website so that all Members knows exactly what was decided and why.
